Terms of Service

Please read these terms carefully before using Zocuments.

1. Agreement

By accessing or using Zocuments, you agree to these Terms of Service. If you are using Zocuments on behalf of an organization, you represent that you have authority to bind that organization.

2. Accounts & Access

  • You must provide accurate account information and keep credentials secure.
  • You are responsible for actions taken using your credentials.
  • We may suspend access for suspected abuse, security risk, or policy violations.

3. Acceptable Use

  • No illegal content or activity.
  • No infringement, malware, or attempts to breach our security.
  • No use that violates privacy or intellectual property rights.

4. Customer Content

You retain ownership of files, documents, and data you upload (“Customer Content”). You grant us a limited license to process Customer Content solely to provide the service (storage, indexing, OCR, versioning, search, and related features).

5. Plans, Billing & Taxes

  • Paid plans are billed in advance per the order form or pricing page.
  • Fees are non-refundable except where required by law.
  • Prices may change with notice for future terms.
  • You are responsible for any applicable taxes.

6. Intellectual Property

Zocuments, including the software and documentation, is owned by us or our licensors. No rights are granted except as expressly stated in these Terms.

7. Confidentiality

Each party may access the other party’s confidential information. The receiving party will protect it with at least reasonable care and use it only as necessary to perform under these Terms.

8. Privacy & Security

Our Privacy Policy and Security page describe how we handle personal data and protect your information.

9. Warranties & Disclaimers

Zocuments is provided “as is.” We disclaim all implied warranties to the extent permitted by law, including merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages. Our aggregate liability for claims arising from the service will not exceed the amounts paid to us by you in the 12 months before the claim.

11. Term & Termination

  • Either party may terminate for material breach if not cured within 30 days of notice.
  • Upon termination, your access ends and we will delete or return Customer Content upon request and in accordance with our retention/backups schedule.

12. Changes to the Service & Terms

We may update the service and these Terms. If changes are material, we will provide reasonable notice. Continued use after changes become effective constitutes acceptance.

13. Governing Law

These Terms are governed by the laws of California, USA, without regard to conflict-of-laws rules. Venue lies in state or federal courts located in California, and the parties consent to personal jurisdiction there.
